Terms of Service and Rate Sheet

Introduction
Elite Logistics, Inc. (“Elite”) provides delivery services (“Courier Service’) to third-parties (“Shippers”) who desire to deliver their goods to their customers (“Destinations”). Elite provides its Courier Service though a web-based internet platform provided by Elite EXTRA’s EXTRA-on-Demand (“EoD” and “EoD Platform”). Elite and Shipper independently subscribe to EoD Platform in order to accommodate i) Elite’s desire, as evidenced by acceptance of Shippers delivery order, to provide Courier Services; and ii) Shippers desire to receive Courier Services with the visibility to compare and contrast multiple providers terms and rates associated with Courier Services.

Terms of Service
Agency and Third-Party Billing
Elite provides Courier Services as an agent of Shipper. Notwithstanding this relationship, EoD provides Elite rating, billing and collection services on its behalf. Shipper herby agrees to EoD’s billing and payment terms provided to Shipper, and to remit in full Courier Service Fee accordingly.

Courier Service Fee
The “Courier Services Fee” is the final billed amount to the Shipper and is either the Base Courier Charge and/or the Cancellation Charge (defined below).

Base Courier Charge
The base delivery rate quoted on the EoD Platform (“Base Courier Charge”) is calculated by an EoD Platform algorithm utilizing, among other factors, time and distance estimated to provide Courier Services for each order.

Minimum Courier Charge
The Base Courier Charge shall not be less than $10.00.

Cancellation Charge
In the event Shipper desires to cancel a delivery order or the order is deemed cancelled, after the order is placed and accepted on the EoD Platform, a Cancellation Charge may apply.

  • Cancellation “During Grace Period” – If Shipper’s order is cancelled within five (5) minutes, no Cancellation Charge or Base Courier Charge will be assessed;
  • Cancellation “After Grace Period” but before pickup at Shipper Location – A Cancellation Charge equal to $15.00 will be assessed. This charge will be in lieu of the Base Courier Charge.
  • Cancellation “After Goods Received” from Shipper Location – After the goods have been pickup from Shipper location and before delivery to Destination, the Shipper will be charged the Base Courier Charge plus a Cancellation Charge equal to the Base Courier Charge to return the goods to the Shipper.
  • Cancellation Due to “Delay” – Elite’s Base Courier Charge includes reasonable estimates of time to interact with Shipper and Destination personnel while picking up Shipper’s goods and delivering Shipper’s goods. Should Elite’s Courier Service personnel be delayed by the Shipper more than ten (10) minutes, the order shall be deemed to be cancelled After Grace Period. Should Elite’s Courier Service personnel be delayed by the Destination by more than ten (10) minutes, the order shall be deemed to be cancelled After Goods Received.
  • Cancellation Due to “Failed Delivery” – Should Elite’s Courier Service personnel fail to complete a delivery for reasons not within the control of said personnel (e.g. order refused, Destination closed, bad address etc.), a Cancellation Charge equal to the Base Courier Charge may apply in addition to the Base Courier Charge. Elite shall return to Shipper undelivered goods immediately, as is reasonably possible, after the failed delivery.

Services Not Covered
Cash On Delivery (COD): Elite’s Courier Services through the EOD Platform do not include delivery of “Cash-on-Delivery” orders at this time.

Non-Cancellation Returns/Exchanges: Elite’s Courier Services through the EOD Platform do not include picking up previously delivered goods to Destination or exchange currently delivered goods with previously delivered goods at this time. Separate orders may be entered into EoD Platform to accomplish either scenario.
